Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“User,” “Customer,” “you”) and RUNESTONE HANDLUNG s.r.o.(“Company,” “we,” “us,” or “our”), registered at Soukenická 877/9, Moravská Ostrava, 702 00 Ostrava, Czech Republic, IČO: 23389702. These Terms govern your access to and use of the Zolvexa SaaS platform located at https://zolvexa.eu (the “Service”).

1. Nature of the Service

Zolvexa is a B2B Software-as-a-Service (SaaS) expense management and data visualization dashboard.

1.1. No Financial Services: We are purely an analytics software provider. Zolvexa is not a bank, payment gateway, e-money institution, or card issuer. We do not facilitate money transfers, nor do we issue credit, debit, or virtual cards. We do not hold user funds.

1.2. Data Accuracy: The metrics, charts, and data displayed on Zolvexa depend entirely on the transaction data you import (via CSV, manual entry, or third-party read-only APIs). We are not responsible for accounting discrepancies or business decisions made based on this data.

2. Account Registration and Access

2.1. Account Creation: Access to Zolvexa is granted upon successful payment of a subscription via our payment processor (Stripe). The account is generated using the email provided during checkout.

2.2. Security: You are responsible for safeguarding your login credentials. You agree to notify us immediately of any unauthorized use of your account.

3. Subscription, Billing, and Payments

3.1. Fees: The Service is billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring, periodic basis (monthly or annually) depending on the type of subscription plan you select.

3.2. Payment Processor: All payments are processed securely through Stripe. We do not store your full credit card information on our servers.

3.3. Taxes: Unless otherwise stated, our fees do not include any taxes, levies, or duties imposed by taxing authorities. You are responsible for payment of all such taxes.

4. Acceptable Use Policy

You agree NOT to use the Service to:

• Upload malicious code, viruses, or harmful scripts.
• Attempt to reverse engineer, decompile, or hack the Zolvexa platform.
• Use the Service for any illegal activities, money laundering tracking, or fraud.
• Resell or lease access to the platform without our explicit written consent.

We reserve the right to suspend or terminate accounts that violate these terms immediately and without a refund.

5. Intellectual Property

All code, design, features, branding, and intellectual property rights related to the Zolvexa platform remain the exclusive property of RUNESTONE HANDLUNG s.r.o. Your subscription grants you a limited, non-exclusive, non-transferable license to use the software.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall RUNESTONE HANDLUNG s.r.o., its directors, employees, or partners be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, data, or other intangible losses arising out of or relating to your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

7. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions. Any disputes will be subject to the exclusive jurisdiction of the courts of the Czech Republic.

8. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify active users of significant changes via email or dashboard notification.
